Ameena AI, Inc.

These Terms of Service (the "Terms") govern access to and use of the Ameena.ai website, web application, AI agents, integrations, features, beta functionality, and related services (collectively, the "Service") provided by Ameena AI, Inc. ("Ameena AI," "we," "us," or "our").

By creating an account, accessing or using the Service, or clicking to accept these Terms, you agree to these Terms on behalf of yourself and, where applicable, the company or other organization you represent. If you do not agree, do not use the Service.

1. Business Use and Authority

The Service is intended exclusively for business customers and their authorized personnel. It is not offered for personal, household, or consumer use.

If you create or use an account for an employer, client, or other organization, you represent and warrant that you have authority to bind that organization to these Terms. The organization is the "Customer," and individual personnel accessing the Service under the Customer account are "Users." Customer is responsible for its Users and for all activity occurring under its account.

Ameena AI may make administrative controls available that permit authorized Customer administrators to add or remove Users and manage account access. Some administrative or multi-user functionality may be limited, modified, or unavailable during beta or early-access periods.

2. Accounts and Security

Users must provide accurate account information and maintain the confidentiality of login credentials. Customer is responsible for ensuring that only authorized personnel access its account and for promptly notifying Ameena AI of suspected unauthorized access or security incidents involving the Customer account.

Customer may not share credentials outside its authorized personnel, circumvent usage controls, or permit access in violation of these Terms.

3. Service Features and Integrations

The Service may connect with third-party systems and services, including customer relationship management, marketing, website, advertising, analytics, artificial intelligence, and similar business tools. Available integrations and supported providers may change over time, and Ameena AI may add, remove, modify, suspend, or discontinue integrations or supported providers at any time.

Each integration must be affirmatively authorized by the Customer using the Customer's own account or credentials. Customer is responsible for having all rights and permissions necessary to connect an integration and to provide or permit access to data from that integration.

Customers may disconnect supported integrations through the Service. Disconnecting stops future syncing and deletes stored connection credentials from Ameena AI's systems, but previously imported data may remain in the Customer account unless separately deleted in accordance with the Service's then-current deletion functionality and policies.

Third-party integrations are provided by independent third parties. Ameena AI is not responsible for third-party services, their availability, changes, security, acts, omissions, or terms. Customer's use of a third-party service remains subject to that provider's own terms and policies.

Certain subscription tiers may permit Customers to connect a supported third-party AI model or model provider using the Customer's own API key or account credentials ("Customer-Selected Model"). Customer is solely responsible for selecting, configuring, maintaining, and paying for any Customer-Selected Model and for ensuring that its use complies with applicable law, these Terms, and the applicable provider's terms and policies. Customer must not connect or use any Customer-Selected Model, API, account, credential, or service that is unlawful, malicious, infringing, designed or used to circumvent safeguards, or reasonably likely to compromise the security, integrity, availability, or operation of the Service.

Ameena AI may restrict, suspend, or disable any Customer-Selected Model or related connection that Ameena AI reasonably believes creates a security, legal, technical, abuse, or integrity risk.

4. Customer Data and Content

"Customer Data" means data, information, materials, content, files, prompts, images, campaign information, CRM information, account records, brand materials, marketing data, and other content submitted, uploaded, connected, transmitted, or made available by or for Customer through the Service.

As between the parties, Customer retains ownership of Customer Data. Customer grants Ameena AI a non-exclusive, worldwide, limited license to host, copy, transmit, process, display, analyze, and otherwise use Customer Data solely as reasonably necessary to provide, secure, maintain, support, and improve the Service and to generate Customer-specific outputs, subject to these Terms and the Privacy Policy.

Customer represents and warrants that it has all rights, permissions, notices, and consents necessary for Ameena AI to process Customer Data as contemplated by these Terms.

Ameena AI does not use Customer content to train or fine-tune models for cross-customer use. This restriction does not control the independent data practices of a Customer-Selected Model, which are governed by the applicable provider's terms, settings, and policies. Customer content is not combined across tenants for cross-customer model training or customer-facing benchmarking. Ameena AI may use de-identified or pseudonymized product-usage event data for internal product analytics, provided such data does not include Customer content and is not used to identify a specific Customer.

5. AI Features and Recommendations

The Service uses artificial intelligence and may generate recommendations, insights, reports, summaries, campaign suggestions, marketing analyses, and other outputs ("AI Output"). AI Output may be generated using third-party AI model providers.

AI Output is provided for informational and decision-support purposes only. It may be inaccurate, incomplete, outdated, misleading, or unsuitable for a particular business objective. Ameena AI does not guarantee that any recommendation, prediction, analysis, or other AI Output will be correct, complete, profitable, or effective.

The customer remains solely responsible for evaluating AI Output and for all business, marketing, advertising, budget, channel, campaign, revenue, targeting, allocation, and other decisions made in reliance on or using AI Output. Ameena AI does not make final decisions on Customer's behalf.

The current Service is designed to generate insights and recommendations and does not automatically change ad spend, modify campaigns, reallocate budgets, edit CRM information, or otherwise execute marketing decisions without Customer action or approval.

AI agents do not have independent access to send communications, publish content, or modify third-party accounts on Customer's behalf. Where the Service allows an AI-generated draft to be saved to a connected integration (for example, an email draft or website post draft), that content is created as an unpublished, non-live draft within the applicable third-party system and requires a separate action by Customer directly within that third-party system before it is published or sent.

Suggested updates to Customer's shared marketing context or Knowledge Base require Customer review and affirmative confirmation before being saved.

The Service is not intended to provide legal, medical, employment, human-resources, investment, accounting, tax, or regulated financial advice.

Predictive, anomaly-detection, and roadmap features may be incomplete, gated, under development, or unavailable. References to planned agents, future predictive capabilities, feature counts, roadmaps, or expected functionality are informational only and are not commitments, warranties, or guarantees of delivery.

6. Third-Party AI Processing

Ameena AI uses third-party AI and model-processing providers to provide AI-powered features. Supported providers may include Anthropic, OpenAI, Google Gemini, and other providers that Ameena AI may add, replace, or support over time. Depending on the applicable feature or subscription tier, AI processing may occur through a provider selected by Ameena AI or through a Customer-Selected Model connected using the Customer's own API key or account credentials.

Where Customer uses a Customer-Selected Model, Customer is responsible for the provider relationship, API key, account configuration, applicable fees, data-processing settings, retention settings, model-training settings, and compliance with that provider's terms and policies. Ameena AI does not warrant or control the availability, performance, security, accuracy, data practices, or outputs of any Customer-Selected Model.

Where a third-party AI provider processes Customer Data, the provider may process, retain, or use submitted data in accordance with its applicable commercial terms, privacy commitments, account settings, technical settings, and data-processing policies. Ameena AI configures provider accounts and integrations based on its then-current business and technical requirements but does not control a third-party provider's independent policies or practices. Customers using a Customer-Selected Model are responsible for reviewing and configuring the applicable provider's retention, privacy, security, and model-training settings.

7. Ownership and Output Rights

Ameena AI and its licensors retain all right, title, and interest in and to the Service, software, interfaces, AI agents, models, workflows, methodologies, designs, documentation, know-how, and underlying technology, including all related intellectual-property rights.

As between Ameena AI and Customer, and to the extent permitted by applicable law, Customer owns any rights that Ameena AI may have in AI Output, recommendations, reports, dashboards, and other output generated specifically for Customer from Customer Data. Ameena AI hereby assigns to Customer any such rights that Ameena AI may acquire in that Customer-specific AI Output. This assignment does not transfer any right, title, or interest in the Service, AI models, methodologies, prompts, templates, workflows, software, know-how, underlying technology, or other Ameena AI materials incorporated into or used to generate the AI Output.

No ownership right in the Service or underlying technology is transferred to Customer. Any rights not expressly granted are reserved by Ameena AI.

8. Feedback

If Customer or a User provides feedback, suggestions, ideas, or improvement requests regarding the Service, Customer grants Ameena AI a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or obligation, provided Ameena AI does not identify Customer publicly without permission.

9. Prohibited Use and Restricted Data

Customer and Users may not use the Service to violate law, infringe third-party rights, interfere with or disrupt the Service, attempt unauthorized access, reverse engineer the Service except where legally prohibited from restricting such conduct, introduce malicious code, or use the Service to develop a competing product through systematic extraction or replication.

Unless expressly approved in writing by Ameena AI for a particular use case, Customer must not submit, upload, or connect highly sensitive or regulated information, including Social Security numbers, government identification numbers, health or medical information subject to specialized regulation, financial account credentials or full payment card data, passwords, API keys, or authentication secrets other than credentials intentionally provided for supported integrations or Customer-Selected Models, information concerning children, or other sensitive personal information not reasonably necessary for the Service.

The Service does not currently scan Customer content for sensitive information. Customer is responsible for ensuring that Customer Data complies with these restrictions.

10. Beta, Early Access, and Service Changes

The Service may include private beta, founding beta, early-access, preview, experimental, or similar functionality ("Beta Features"). Beta Features may be incomplete, unstable, unavailable, changed, suspended, or discontinued at any time.

During beta or early-access periods, Ameena AI does not provide any service-level agreement, uptime commitment, availability guarantee, or commitment to maintain particular features.

Ameena AI may add, remove, modify, suspend, or discontinue any feature or functionality of the Service, including Beta Features, at any time. Ameena AI may also change its agent catalog, integrations, supported AI providers or models, pricing structure, or product roadmap.

11. Fees, Plans, Billing, and Renewal

Available plans, usage limits, per-agent add-ons, message allowances, pricing, and other commercial terms will be displayed in the Service, applicable checkout flow, order form, or other written agreement.

Subscriptions may be billed monthly or annually and, unless otherwise stated in an applicable order form or checkout flow, automatically renew for successive periods of the same length until cancelled.

Customers may cancel through Ameena AI's billing management portal, which is currently powered by Stripe. Cancellation takes effect at the end of the then-current paid billing period. Customer retains access through that period and will not be charged for a subsequent renewal after cancellation.

Except as required by law or expressly stated in an applicable order form, fees are nonrefundable.

Ameena AI may offer usage add-ons, additional-agent fees, additional capacity, free trials, beta access, promotional plans, or other pricing arrangements. Current or future limits and prices may change prospectively upon notice or as displayed at purchase. Ameena AI will provide renewal, pricing-change, and other notices to the extent required by applicable law.

Beta access does not automatically convert into a paid subscription. A beta user must affirmatively select a paid plan and provide payment information before being charged.

Payments may be processed by Stripe or another payment processor. Ameena AI does not store full payment-card details. Customer authorizes the applicable processor to charge the selected payment method for amounts due.

12. Enterprise Orders and Conflicting Terms

Some Customers may purchase the Service under an order form, master services agreement, enterprise agreement, or other written contract signed by Ameena AI. If a signed agreement expressly conflicts with these Terms, the signed agreement controls solely to the extent of that conflict.

13. Suspension and Termination

Ameena AI may immediately suspend access where reasonably necessary to address security threats, abuse, unlawful activity, material risk to the Service or others, or suspected compromise of an account.

Ameena AI may terminate these Terms or discontinue a Customer's access to the Service for convenience upon thirty (30) days' prior notice. If Ameena AI terminates a paid subscription for convenience rather than for Customer breach, misuse, or other cause, Ameena AI will provide continued access through the applicable prepaid billing period or, at Ameena AI's option, refund any prepaid fees attributable to the unused portion of that period. Ameena AI may discontinue or terminate free, beta, preview, or early-access features or accounts at any time, with or without prior notice. Ameena AI may also immediately suspend or terminate access for material breach, including nonpayment or misuse. Except where immediate suspension or termination is reasonably necessary to address a security threat, abuse, unlawful activity, material risk to the Service or third parties, repeated violations, or other circumstances where a cure opportunity would be impracticable or inappropriate, Ameena AI may provide Customer a reasonable opportunity to cure a material breach before termination. Customer may terminate by cancelling its subscription or otherwise closing its account in accordance with then-current product functionality.

Upon termination or expiration, Customer's right to use the Service ends, except for access that continues through an already-paid billing period as stated above. Certain Customer Data may remain in the Service after an integration is disconnected or after termination until deleted under Ameena AI's then-current deletion processes. Ameena AI does not currently promise a fixed deletion period unless expressly stated in the Privacy Policy or a separate written agreement.

14. Privacy

Ameena AI's collection and use of personal information is described in the Ameena AI, Inc. Privacy Policy, which is incorporated into these Terms by reference.

15. Confidentiality

Each party may receive nonpublic information of the other party that is identified as confidential or that reasonably should be understood to be confidential. The receiving party will use such information only as necessary to perform or receive the Service and will protect it using reasonable care. Confidentiality obligations do not apply to information that is publicly available through no breach, already lawfully known, independently developed, or rightfully received from a third party without restriction.

If disclosure is required by law, the receiving party may disclose confidential information to the extent legally required and, where permitted, will provide reasonable notice.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, BETA FEATURES, INTEGRATIONS, AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." AMEENA AI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND RESULTS.

AMEENA AI DOES NOT WARRANT THAT THE SERVICE OR AI OUTPUT WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, COMPLETE, ACCURATE, OR SUITABLE FOR CUSTOMER'S PURPOSES, OR THAT USE OF THE SERVICE WILL INCREASE REVENUE, IMPROVE MARKETING PERFORMANCE, REDUCE COSTS, OR PRODUCE ANY PARTICULAR BUSINESS RESULT.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMEENA AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF GOODWILL, LOSS OR CORRUPTION OF DATA, ADVERTISING OR MARKETING SPEND, OR BUSINESS DECISIONS MADE IN RELIANCE ON AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMEENA AI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO AMEENA AI FOR THE SERVICE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED U.S. DOLLARS ($500).

The limitations in this Section apply to the fullest extent permitted by law and regardless of the theory of liability.

18. Indemnification

Customer will defend, indemnify, and hold harmless Ameena AI and its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising out of or relating to (a) Customer Data, including allegations that Customer Data infringes or violates third-party rights; (b) Customer's or a User's violation of these Terms; (c) Customer's violation of applicable law or third-party rights; or (d) Customer's misuse of the Service, except to the extent caused by Ameena AI's gross negligence or willful misconduct. Any additional provider indemnification obligations, including intellectual-property indemnification, must be expressly agreed in a separate signed enterprise agreement or order form.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction and venue in those courts.

TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY AGREES THAT ANY CLAIM OR DISPUTE WILL BE BROUGHT ONLY IN THAT PARTY'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Nothing in this Section prevents either party from seeking temporary or injunctive relief in a court of competent jurisdiction to protect intellectual property, confidential information, or system security.

20. Changes to These Terms

Ameena AI may update these Terms from time to time. If changes are material, Ameena AI will provide reasonable notice through the Service, by email, or by another appropriate method. The updated Terms will state their effective date. Where required, Ameena AI may require renewed affirmative acceptance.

21. Electronic Acceptance and Records

Ameena AI may require Users to affirmatively accept these Terms through a clickwrap or similar electronic process. Ameena AI may maintain records showing the User or account, date and time of acceptance, and version of the Terms accepted. Electronic acceptance has the same force and effect as a written signature to the extent permitted by law.

22. General

Neither party may assign these Terms without the other party's prior written consent, except that either party may assign these Terms without consent to an affiliate or in connection with a merger, acquisition, corporate reorganization, change of control, or sale of all or substantially all of its assets, provided the assignee agrees to assume the assigning party's obligations under these Terms. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any applicable signed order form or enterprise agreement, constitute the entire agreement concerning the Service and supersede prior discussions concerning the same subject matter.

The parties are independent contractors. These Terms do not create a partnership, franchise, fiduciary, employment, or agency relationship.
